Scribe — End User Licence Agreement
DRAFT for legal review. Items marked [CONFIRM] are business decisions. Version 1.0 draft · prepared 2026-09-03 · governing law: [CONFIRM] (suggested: New South Wales, Australia)
Licensor: [CONFIRM — company name, ABN, registered address] ("we", "us") Licensee: the pharmacy or organisation that installs or uses Scribe ("you")
By installing or using Scribe you agree to these terms. If you do not agree, do not install it.
1. What Scribe is, and what it is not
1.1 Scribe is a documentation assistance tool. It records a consultation with the patient's consent, transcribes it, and drafts a structured note for a pharmacist to review, correct and approve.
1.2 Scribe does not practise pharmacy. It does not diagnose, does not recommend treatment, and does not decide what care a patient should receive. It reports what was said in a consultation and what appears on documents you give it. It is not clinical decision support software and is not supplied as a medical device under the Therapeutic Goods Act 1989 (Cth).
1.3 You must review every output before use. No note, claim form, certificate or export produced by Scribe may be relied on, filed, submitted or given to a patient or third party until a registered pharmacist has read it and confirmed it is accurate. Automatic speech recognition and language models make mistakes, including mistakes that read plausibly — a misheard medicine name, a strength that is wrong by a decimal place, a sentence attributed to the wrong speaker. Detecting those is the pharmacist's role, and Scribe is designed on the assumption that the pharmacist performs it.
1.4 Clinical responsibility for every consultation, record and claim remains entirely with you and with the registered health practitioner involved. Nothing in Scribe reduces your obligations under the Health Practitioner Regulation National Law, your professional standards, or any program you claim under.
2. Licence granted
2.1 We grant you a non-exclusive, non-transferable, revocable licence to install and use Scribe on the number of devices covered by your subscription, at the pharmacy premises named in your order, for as long as your subscription is current.
2.2 Fees, subscription term, and the number of devices and users are set out in your order form. [CONFIRM — pricing model: per pharmacy, per seat, or per consult]
3. What you may not do
You must not, and must not permit anyone else to:
(a) copy, publish, sublicense, rent, sell or otherwise make Scribe available to anyone outside your organisation; (b) reverse engineer, decompile or disassemble Scribe, or attempt to derive its source code, except to the extent that right cannot lawfully be excluded (see clause 3.1); (c) modify Scribe or create derivative works from it; (d) remove or obscure any proprietary notice, including the notices in NOTICES.md; (e) use Scribe to build a competing product, or to train a machine learning model; (f) use Scribe outside Australia without our written agreement, or in a way that breaches any law that applies to you.
3.1 Nothing in clause 3 limits any right you have under the Copyright Act 1968 (Cth) or the Australian Consumer Law that cannot lawfully be excluded.
4. Your data
4.1 Your data is yours. Consultation recordings, transcripts, notes, patient information and every record Scribe produces belong to you. We claim no ownership of them.
4.2 Where the data lives. In its standard configuration Scribe processes audio entirely on your own device: recordings are transcribed locally and are not transmitted to us or to any third party. Audio is deleted once transcription completes and is not retained.
4.3 If you enable a cloud language model. Scribe can optionally be configured to use a third-party hosted language model. If you turn that on, consultation text is sent to that provider under their terms, the patient consent wording changes accordingly, and clause 4.2 no longer describes your deployment. That choice is yours, it is off by default, and Scribe tells you on screen when it is on.
4.4 We do not train on your data. We do not use your consultations, patients or notes to train or improve any model, and we do not sell or share them.
4.5 Support access. We access your data only when you ask us to, for support, and only for as long as needed. [CONFIRM — whether you offer remote support at all]
4.6 Backups are your responsibility unless you buy a hosted plan from us. Scribe stores data on your device; keeping and testing backups is yours to do.
5. Third-party components
Scribe includes open source software listed in NOTICES.md, each under its own licence. Those licences prevail over this agreement for those components.
6. Warranties and liability
6.1 Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. Nothing in this agreement excludes, restricts or modifies those guarantees.
6.2 Beyond those guarantees, Scribe is provided "as is". We do not warrant that transcription or note generation will be free of error, that Scribe will be uninterrupted, or that it will meet any particular requirement.
6.3 To the extent the law permits, our total liability under this agreement is limited, at our option, to resupplying the software or refunding the fees you paid in the 12 months before the claim. [CONFIRM — cap]
6.4 To the extent the law permits, we are not liable for indirect or consequential loss, loss of profit, loss of data, or any clinical outcome arising from a note that was not reviewed as clause 1.3 requires.
7. Term and termination
7.1 This agreement runs while your subscription is current.
7.2 Either party may terminate for material breach not remedied within 30 days of written notice.
7.3 On termination you must stop using Scribe and remove it from your devices. Your data remains yours — before you uninstall, export it. We are not obliged to retain it, and clause 4.1 does not oblige us to hold a copy.
7.4 Clauses 4, 6, 8 and this clause survive termination.
8. General
8.1 Governing law: [CONFIRM]. Both parties submit to the courts of that jurisdiction.
8.2 We may update these terms on 30 days' notice. Continuing to use Scribe after that means you accept the change. If you do not accept it, you may terminate and receive a pro-rata refund of fees paid for the unused period.
8.3 This agreement, with your order form, is the whole agreement between us about Scribe.
